Our client, a prominent AmLaw 50 firm, is seeking an Investment Funds Associate Attorney to join its dynamic Private Funds Practice Group in Chicago, Charlotte, or New York. This is an exciting opportunity for a driven attorney to work on a sophisticated platform advising private fund sponsors and investment advisers on a range of regulatory and transactional matters.
Candidate Profile

JD from a top-tier law school with an excellent academic record.

Active Bar Admission in the relevant jurisdiction, in good standing.

4–6 years of substantive experience in private equity fund formation and related matters.

Prior experience at a large law firm is preferred; candidates with exceptional in-house experience will also be considered.

Demonstrated experience assisting private equity fund sponsors with fund formation, including drafting and negotiating private placement memoranda, partnership agreements, and related ancillary documents.

Experience reviewing fund documentation on behalf of institutional investors, including negotiating fund terms.

Skilled in structuring and drafting governance documents for private equity fund management companies and general partners.

Familiarity with the Investment Advisers Act and related securities regulations.

Experience with private equity secondary transactions and General Partner (GP) restructurings is a plus.
- Soft Skills: Excellent writing, analytical, communication, and negotiation skills are essential, as well as a keen attention to detail and strong business acumen.
Key Responsibilities

Advise private equity fund sponsors on fund formation, structuring, and regulatory compliance matters.

Draft, review, and negotiate fund offering and governance documents, including private placement memoranda, partnership agreements, and side letters.

Represent institutional investors in their review and negotiation of private fund documentation.

Provide counsel on regulatory matters, particularly under the Investment Advisers Act.

Assist with private equity secondary transactions and GP-led fund restructurings.

Collaborate closely with partners, clients, and cross-practice colleagues to deliver practical, business-oriented legal solutions.

Compensation & Benefits
- Competitive Compensation: Includes a salary range of $310,000 to $390,000, commensurate with experience, and a discretionary bonus.
