Our client, a prominent AmLaw50 international firm known for its expertise in complex corporate finance matters, is seeking driven Finance Corporate Debt Associate Attorneys to join their Corporate Debt team in Dallas or New York.

 

 

Candidate Profile

  • JD from a top-tier law school with an excellent academic record.
  • Active Bar Admission in the relevant jurisdiction, in good standing.
  • 3–6 years of substantive experience in secured transactions, syndicated lending, and other commercial finance transactions including cash flow credit facilities.
  • Transactional Background: Extensive experience drafting, reviewing, and negotiating financial and transactional documents.
  • Private debt experience is strongly preferred.
  • Collaborative and Proactive: A self-starter who thrives in a team-oriented environment, with the ability to manage responsibilities across multiple transactions.
  • Soft Skills: Excellent legal writing, client communication, and analytical skills, alongside strong business acumen, are essential.
 

 

Key Responsibilities

  • Represent clients in sophisticated corporate and private debt transactions, including secured transactions, syndicated lending, and cash flow credit facilities.
  • Collaborate with cross-functional teams to draft and review complex financial documents and agreements.
  • Provide counsel on all phases of transaction structuring and closings.
  • Contribute to high-profile finance projects with national and international clients, ensuring compliance and optimizing transaction terms.
  • Develop client relationships and support business development efforts within the firm’s finance practice.
