A top-10 AmLaw firm with a global practice is seeking a mid-level Associate Attorney to join its Corporate Group in New York. This role focuses on capital markets, public company reporting and compliance, and corporate governance, with the opportunity to work closely with large-cap and mid-cap public companies on sophisticated securities matters.
This position offers the chance to contribute to a nationally-recognized securities practice that works with clients in the life sciences, technology, and digital asset industries, representing both issuers and underwriters. The ideal candidate will have experience in securities law compliance, capital markets transactions, and public company advisory work.
Candidate Profile
- JD from a top-tier law school with an excellent academic record.
- Active Bar Admission in New York, in good standing.
- 3+ years of substantive capital markets experience, representing issuers and underwriters.
- Strong knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, and Nasdaq/NYSE listing and governance requirements.
- Experience advising public companies on periodic reporting, proxy statements, and Section 13/16 filings.
- Prior experience at an AmLaw 100 firm is strongly preferred.
- Soft Skills: Excellent analytical, writing, and communication skills, sound business judgment, attention to detail, and the ability to work independently and collaboratively in a fast-paced environment.
Key Responsibilities
- Represent issuers and underwriters in capital markets transactions.
- Advise public companies on reporting, compliance, and governance under federal securities laws.
- Counsel clients on periodic reporting obligations, proxy statements, and beneficial ownership reporting.
- Draft and review registration statements, securities filings, and governance-related disclosures.
- Collaborate with colleagues across practice groups to provide comprehensive client support.

Compensation & Benefits
- Competitive Compensation: Annual base salary is expected to range from $260,000– $390,000, determined by experience, qualifications, and market factors.
