A top-10 AmLaw firm is seeking a talented mid-level Associate Attorney to join its dynamic Investment Funds practice, focusing on transactional tax matters. The role is open to attorneys based in Austin, Chicago, New York, Washington, D.C., San Diego, Los Angeles, and San Francisco, with a hybrid in-office schedule. This is an excellent opportunity for an attorney with transactional tax experience to work on complex fund formation and cross-border investment matters for high-profile clients.
Candidate Profile
- JD from a top-tier law school with excellent academic credentials
- Active Bar Admission in the relevant jurisdiction, in good standing
- 2–4 years of substantive transactional tax experience, preferably at an AmLaw 100 firm
- Experience advising on fund formation, Section 892 investors, real estate, investment fund secondary transactions, regulated investment companies, income tax treaties, and cross-border transactions
- Strong written and verbal communication abilities, analytical and problem-solving skills, and attention to detail
- Ability to work independently and collaboratively with cross-functional teams, exercising sound business judgment and organizational skills
Key Responsibilities
- Advise on U.S. federal income tax aspects of investment fund formation and operations, including domestic and cross-border structures
- Draft, review, and negotiate tax-related provisions in fund formation documents and transaction agreements
- Counsel clients on tax considerations for Section 892 investors, regulated investment companies, and real estate investments
- Assist with investment fund secondary transactions, income tax treaty analysis, and cross-border investment planning
- Collaborate with corporate, regulatory, and other internal practice groups to provide integrated client advice

Compensation & Benefits
- Annual base salary is expected to range from $235,000 – $310,000, as determined by experience, qualifications, and market factors
