Our client, an AmLaw 100 firm, is seeking an Associate Attorney for its Transactional Tax practice. This is an exciting opportunity for a mid- to senior-level tax attorney to work at the intersection of energy innovation and tax strategy, advising leading market participants on the structuring and execution of renewable energy transactions.
Candidate Profile
- JD from a top-tier law school with strong academic credentials.
- Active Bar Admission in the relevant jurisdiction, in good standing.
- 5–8 years of transactional tax experience, preferably in a law firm or large accounting firm.
- Energy Sector Expertise: Experience advising clients in renewable energy tax credit transactions, including solar, wind, energy storage, and carbon capture projects.
- Proficiency advising tax equity investors, lenders, project developers, and utility-affiliated sponsors on a wide range of federal income tax issues.
- Partnership Tax Experience: Familiarity with partnership structuring, tax opinions, and drafting of partnership agreements is a strong plus.
- Enthusiastic about professional development, writing/speaking engagements, and industry engagement.
- Soft Skills: Exceptional legal writing, research, analytical, and client communication skills.
Key Responsibilities

Structure and negotiate complex tax aspects of energy-related transactions, including M&A and project finance.

Advise on renewable energy tax credits, including ITC, PTC, and Section 45Q matters.

Draft and review partnership and joint venture agreements for tax equity investments and related arrangements.

Provide federal income tax advice to clients on a range of issues involving energy assets, utilities, and clean energy incentives.

Collaborate closely with attorneys across the firm’s Energy, Corporate, and Real Estate groups to deliver comprehensive client solutions.

Participate in client development initiatives and contribute to thought leadership in the tax and energy space.
