Our client, a top-tier AmLaw 100 firm, is seeking a Mid-Senior Level Corporate Associate Attorney to join their thriving Start-up & Venture Capital Practice Group in Mountain View, San Francisco, Santa Monica, New York, Seattle, or Washington, DC. This is a unique opportunity to counsel some of the most innovative companies in the world, from early-stage ventures to publicly traded corporations.

Candidate Profile:

• JD from a top-tier law school with a strong academic record.

• Bar admission in the relevant jurisdiction, or eligibility to sit for/waive into the next bar exam. Out of state candidates are welcome to apply.

• 3+ years of substantive experience in a sophisticated corporate law practice, with a focus on startup formation, venture capital financing, and emerging company representation.

• Experience advising technology and/or life sciences clients on corporate governance, fundraising, and commercial transactions.

• Strong transactional experience, including drafting and negotiating financing agreements, shareholder agreements, and governance documents.

• Excellent analytical, communication, and client management skills.

• In-house counsel candidates with previous law firm experience are welcome to apply.

Key Responsibilities:

• Represent startup founders, venture-backed companies, and investors in corporate transactions, including venture capital financings, equity investments, and convertible securities.

• Draft and negotiate term sheets, shareholder agreements, SAFE agreements, and other investment-related documents.

• Advise clients on corporate governance, regulatory compliance, and strategic transactions.

• Collaborate with cross-functional teams, including tax, employment, and intellectual property attorneys, to provide holistic legal guidance.

• Support clients through M&A transactions, IPOs, and other liquidity events.

Compensation & Benefits:

Competitive Compensation: includes a salary ranging from $260,000 to $390,000 (determined by experience and market factors), along with opportunities to earn a discretionary performance-based bonus.
